Eligibility for Trade Accounts
To open a trade account, you must:
- Be a registered business, sole trader or organisation
- Provide accurate business details (company name, VAT number, address, etc.)
- Agree to these Terms and our Privacy Policy
We reserve the right to approve, decline or suspend trade accounts at our discretion.
Orders & Contract Formation
Orders placed through our website, email or phone constitute an offer to purchase Goods. A Contract is formed only when we issue an Order Confirmation.
We may refuse or cancel Orders where goods are unavailable, pricing errors occur, credit terms are exceeded, or fraud or misuse is suspected.
Pricing & Payment
All prices are shown exclusive of VAT unless stated otherwise. VAT is applied at the prevailing UK rate.
Prices may change without notice but confirmed Orders are unaffected.
Payment terms:
- Proforma (payment before dispatch), unless credit terms are agreed
- Credit accounts: payment due within 30 days of invoice date
We reserve the right to charge interest on overdue invoices at 8% above the Bank of England base rate, plus reasonable recovery costs.
Delivery
Delivery dates are estimates only. Risk in the Goods passes to you upon delivery. Delivery charges are shown at checkout or quoted separately.
You must inspect Goods upon delivery and notify us of any issues within 48 hours. We are not liable for delays caused by couriers, customs or events beyond our control.
Title & Ownership
Title to the Goods remains with us until full payment is received. Until title passes, you must:
- Store Goods separately
- Keep them identifiable
- Not resell or dispose of them outside normal business operations
Returns, Refunds & Shortages
Returns are accepted only with prior written authorisation.
We do not accept returns for change of mind, overordering, or perishable or temperature-sensitive products.
Faulty or damaged Goods must be reported within 48 hours of delivery. Approved returns may be subject to a restocking fee of 10–20%. Refunds are issued only after Goods are inspected and confirmed acceptable.
Product Information
Images, descriptions and specifications are provided for guidance only. We may update product specifications without notice. You are responsible for ensuring Goods are suitable for your intended use.
Warranties
We warrant that Goods will conform to their description at the time of dispatch. Except as expressly stated, all warranties, conditions, and terms implied by law are excluded to the fullest extent permitted in B2B contracts.
Limitation of Liability
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
Subject to the above, we are not liable for:
- Loss of profit
- Loss of business or contracts
- Loss of goodwill
- Indirect or consequential losses
Our total liability is limited to the value of the Goods supplied under the relevant Order.
Intellectual Property
All trademarks, branding, product images and website content remain the property of Theodore Maria Ltd t/a Eccellenza Italia or our licensors. You may not reproduce or use them without permission.
Data Protection
We process personal and business data in accordance with our Privacy Policy and UK GDPR. By placing an Order, you consent to such processing.
Force Majeure
We are not liable for delays or failures caused by events outside our reasonable control, including supply chain disruption, natural disasters, strikes, transport delays, and government restrictions.
Termination
We may suspend or terminate your trade account if you breach these Terms, fail to pay invoices on time, misuse the website or trade account, or provide false or misleading information.
Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales.
